The company was organized with 8 members (directors) in three membership categories. The two life members were Charlie and Winnie Ellis. Four representative members were appointed, one by each of Union Carbide, the County of Lacombe, the Red Deer River Naturalists Society, and the Federation of Alberta Naturalists, and two were appointed members at large. Provision was made to increase the number of members at large to a maximum of four with the proviso that at least one of this membership class would be a professional biologist/scientist.
Union Carbide secured purchase options on the Ellis property on May 24, 1980. Work began immediately on development of a Memorandum of Understanding, the cooperating agencies in this process being those identified as the appointors of the Representative members of the company. This memorandum was completed and signed on April 6, 1981 and the company was incorporated under the Companies Act of the province of Alberta on March 24, 1982.
